Force Majeure Provisions and Interpretation

Force majeure contract provisions were once deemed boilerplate. But COVID-era court opinions such 55 Oak Street LLC v RDR Enterprises, Inc., 2022-ME 28, have highlighted that force majeure should be tailored to the parties’ needs and expectations to provide meaningful protection.
This CLE will involve discussion of how recent Maine case law that has narrowed the interpretation and application of force majeure provisions, and a practical discussion of tailoring these provisions to shift liability and protect your clients best interests. Particular focus will be on the real estate and construction contexts.
